Please read these Terms of Service carefully before using the Earth Platform or any services provided by Earth PBC. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, do not use our services. These Terms constitute a legally binding agreement between you and Earth PBC.

Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Earth Platform, including any associated mobile applications, APIs, and related services (collectively, the "Services"), operated by Earth PBC, a Public Benefit Corporation incorporated in the State of California ("Earth," "we," "us," or "our").

By creating an account, accepting an invitation to the platform, or otherwise accessing the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms apply to all users of the Services, including community members, partner organizations, corporate customers, and any other individuals or entities who access the platform.

The Earth Platform

Earth provides a community networking and monitoring platform that connects frontline communities, workers, partner organizations, and corporate customers to support environmental protection, supply chain transparency, and human rights monitoring. Core capabilities of the platform include:

Geographic Information System (GIS) tools with web and smartphone applications
GPS-tagged field reporting with photo and video documentation
Satellite data integration through partnership with Planet Labs PBC
AI-assisted data analysis and report generation
Digital payment infrastructure for Payment for Environmental Services (PES) programs
Invite-only access controls and identity management

Earth reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any such changes.

Accounts & Access

Invite-Only Onboarding

Access to the Earth Platform is granted through an invite-only system. New users must receive an invitation from an existing verified platform member or Earth directly. By accepting an invitation, the inviting party ("Sponsor") vouches for your identity and suitability for the platform. Sponsors accept responsibility for the conduct of individuals they invite.

Account Registration

To create an account, you must provide accurate, current, and complete information. You agree to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must not create an account under false pretenses, impersonate any person or organization, or use another user's account without permission. Earth reserves the right to refuse access, terminate accounts, or remove content at its sole discretion.

Eligibility

You must be at least 18 years of age to create an account. By using the Services, you represent that you meet this requirement. If you are using the Services on behalf of an organization, you represent that the organization is legally authorized to enter into these Terms.

Note on vouching accountability: Because access is granted through trusted relationships, your conduct on the platform reflects on your Sponsor. Misconduct, submission of false data, or any activity in violation of these Terms may affect the standing of the individuals and organizations within your invite chain.

User Obligations

Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with Earth's mission of environmental protection and human rights monitoring. You must not:

Submit false, fabricated, or deliberately misleading reports, data, or observations
Interfere with, circumvent, or compromise the integrity of platform data or monitoring systems
Use the platform to harass, threaten, or harm any individual or community
Attempt to gain unauthorized access to any part of the Services or any third-party systems
Use automated tools, bots, or scripts to scrape or extract data without prior written consent
Use the Services to facilitate illegal activities, including but not limited to illegal fishing, unlawful deforestation, or forced labor
Violate any applicable local, national, or international laws or regulations
Share your account credentials with any third party not authorized under your organization's access agreement

Data Accuracy

The reliability of Earth's platform depends on the accuracy and integrity of the data submitted by its community. You agree to submit only information that you believe to be truthful and accurate based on your direct knowledge or observation. Earth reserves the right to flag, quarantine, or remove data it determines to be inaccurate, manipulated, or submitted in bad faith.

Community Standards

Earth connects diverse communities across different cultures, geographies, and sectors. You agree to engage respectfully with all platform participants. Discriminatory, abusive, or exploitative conduct toward any community member is grounds for immediate account termination.

Data & Privacy

Your Data

When you submit reports, observations, or other content through the platform ("User Data"), you grant Earth a non-exclusive, worldwide, royalty-free license to store, process, analyze, and use that data to operate and improve the Services, generate reports for authorized parties, and fulfill Earth's mission-related purposes as described in our Privacy Policy.

You retain ownership of the original content you submit. Earth will not sell your personal data to third parties for advertising purposes.

GPS and Location Data

The Earth Platform uses GNSS/GPS data embedded in reports for verification and compliance purposes. By using location-enabled features of the platform, you consent to the collection and processing of location data in accordance with our Privacy Policy. Location data is used to verify the accuracy of reports and support regulatory compliance workflows.

Satellite and Third-Party Data

The Services incorporate satellite imagery and data provided by Planet Labs PBC and other third-party providers. Use of such data through the platform is subject to the terms and licensing conditions of those providers, as applicable.

Privacy

Our collection, use, and disclosure of personal data is governed by our Privacy Policy. We comply with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), where relevant. By using the Services, you consent to the processing of your data as described in our Privacy Policy.

Intellectual Property

The Earth Platform, including its software, design, trademarks, logos, and all associated content created by Earth ("Earth Content"), is owned by Earth PBC and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in Earth Content beyond the limited license to use the Services as described herein.

The EARTH name, logo, and related marks are trademarks of Earth PBC. You must not use our trademarks or branding without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. You must not copy, reproduce, modify, distribute, or create derivative works from Earth Content without written permission.

Payments & Fees

Platform Fees

Access to certain features of the Earth Platform is provided on a paid subscription or project basis. Applicable fees are set out in your service agreement or order form. All fees are due in accordance with the payment terms specified therein.

Payment for Environmental Services (PES)

Where the platform facilitates direct payments to community members or environmental guardians through our integrated payment infrastructure (including via Bridge.xyz), the terms of such payments, including eligibility, calculation, and disbursement, are governed by the specific project or program agreement applicable to those activities.

Taxes

You are responsible for all taxes, duties, and similar charges associated with your use of the Services or receipt of payments through the platform, as required by applicable law.

Refunds

Fees paid for platform access are non-refundable except as required by applicable law or as expressly set out in your service agreement.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Earth disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Earth does not warrant that:

The Services will be uninterrupted, error-free, or secure
Any data, reports, or outputs generated through the Services will be accurate, complete, or suitable for any particular regulatory, legal, or commercial purpose
Any defects or errors in the Services will be corrected

Reports, analytics, and data outputs provided through the platform are intended to support decision-making and are not a substitute for independent legal, financial, or professional advice.

Limitation of Liability

To the fullest extent permitted by applicable law, Earth PBC, its directors, officers, employees, partners, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Services, including but not limited to loss of profits, data, business, or goodwill.

In no event will Earth's total liability to you for any claims arising from or related to these Terms or the Services exceed the greater of (a) the amounts you paid to Earth in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Earth PBC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your access to or use of the Services
Your violation of these Terms
Your violation of any third-party rights, including intellectual property or privacy rights
Any User Data you submit through the platform
Your breach of any applicable law or regulation

Termination

Either party may terminate these Terms at any time. You may close your account by contacting us at support@earthpbc.com. Earth may suspend or terminate your access to the Services immediately, with or without notice, if we determine that:

You have violated these Terms or our policies
Your use poses a risk to the security or integrity of the platform
Your conduct is inconsistent with Earth's mission or community standards
We are required to do so by law or regulatory authority

Upon termination, your right to access and use the Services ceases immediately. Provisions that by their nature should survive termination—including intellectual property rights, disclaimers, limitations of liability, and governing law—will survive.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.

If you are a consumer located in the European Union or United Kingdom, mandatory consumer protection provisions under your local law continue to apply and are not affected by this clause.

For any disputes, we encourage you to contact us first at legal@earthpbc.com so that we can work toward a resolution together before initiating formal proceedings.

Changes to These Terms

Earth may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically. The current version is always available at earthpbc.com/terms-of-service.
